BUSINESS TV IS NOT RESPONSIBLE FOR THE CONTENT OF THIRD PARTY VIDEO OR EXTERNAL WEBSITES.

1. Your Acceptance

By using and visiting this website (collectively, including all Content available through the http://www.business-tv.co.uk domain name, the "Site"), you signify your consent to these terms of service (the "TOS") and the terms of Business TV’s Privacy Policy, which is published at http://www.business-tv.co.uk/privacy, and which are incorporated herein by reference. If you do not agree to any of these terms, then please do not use the Site.

You warrant that you are either more than 18 years of age or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, representations, and warranties set forth in these TOS, and to abide by and comply with the same.

Business TV reserves the right to update and change the TOS from time to time without notice or acceptance by you. The TOS will also be applicable to the use of the Service on a trial basis. By using the Service, you signify your irrevocable acceptance of this TOS.

2. Business TV Site

These TOS apply to all users of the Site. The Site contains video Content produced and/or owned by third party public sector organizations (“Content”) as well as links to third party websites that are not owned or controlled by Business TV. We have no control over, and assume no responsibility for the Content or the content, privacy policies, or practices of any third party websites. In addition, Business TV will not and cannot censor or edit the Content or the content of any third-party site. By using the Site, you expressly relieve Business TV from any and all liability arising from your use of any Content or any third-party website.

3. Description of Service
 
Business TV allows organisations the ability to upload and publish their Content on Business TV, and to distribute their video content across a range of partner website and online video channels.

Business TV may provide you with additional custom services upon your request and agreement with Business TV.  Any new features that augment or enhance the current Services, including the release of new tools and resources, shall be subject to the TOS.

You also understand and agree that the Services may include advertisements and that these advertisements are necessary for Business TV to provide the Services.  You also understand and agree that the Services may include certain communications from Business TV, such as service announcements, administrative messages and the Business TV newsletter, and that these communications are considered part of the Business TV membership.

4. Site Access & Registration

Business TV grants you permission to use the Site as set forth in these TOS, provided that: (i) your use of the Site and the Content is solely for your personal use; (ii) you will not copy or distribute any part of the Site or the Content in any way without Business TV’s prior written consent; (iii) you will not alter any part of the Site or the Content other than as may be reasonably necessary to use the Site for its intended purpose; and (iv) you will otherwise comply with these TOS.

In order to access some features of the Site, you will have to create an account. You may not use another's account without permission. When creating your account, you must provide accurate and complete information and you are solely responsible for the activity that occurs on your account. You agree not to use or launch any automated system that accesses the Site in a manner that sends more request messages to the Business TV servers in any period of time than a human can reasonably produce in the same period by using a conventional on-line web browser.

Notwithstanding the foregoing, Business TV grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. You agree not to collect or harvest any personally identifiable information, including account names, from the Site, nor to use the communication systems provided by the Site for any commercial solicitation purposes.

In order to use the Services, you must have a valid Business TV account.  You are responsible for maintaining the confidentiality of your username and password, and are fully responsible for all activities that occur under your password or account.  You agree to (a) immediately notify Business TV of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session Business TV cannot and will not be liable or any loss or damage arising from your failure to comply with this Section.

5. Content and Conduct rule and obligations

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, goods, products, services or other materials ("Content") are the sole responsibility of the person from which the content originated.  This means that you, and not Business TV, are entirely responsible for all Content that you upload, post, transmit, or otherwise make available via the Services.

Business TV does not control the Content posted via the Services, and, as such, does not guarantee the accuracy, integrity or quality of such Content.

Under no circumstances will Business TV be liable in any way for Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted or otherwise made available via the Services.  You acknowledge that Business TV does not pre-screen Content, but that Business TV shall have the right (but not the obligation) in its sole discretion to refuse or move any Content that is available via the Services.  You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content.

You understand that the technical processing and transmission of the Services, including your Content, may involve the distribution over various networks and channels. Should Content be found or reported to be in violation of, but not limited to, the following terms, it will be in Business TV sole discretion as to what action should be taken.

You agree that you will not:

• Upload, post, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable;
• Upload, post or otherwise transmit any Content that you do not have a right to transmit;
• Upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, or any other proprietary rights of any party;
• Upload, post or transmit unsolicited commercial email or "spam".  This includes unethical marketing, advertising, or any other practice that is in any way connected with "spam", such as (a) sending mass email to recipients who haven’t requested email from you or with a fake return address, (b) promoting a site with inappropriate links, titles, descriptions, or (c) promoting your Content by posting multiple submissions in public forums that are identical. Also defined, as "spam" are any videos that a reasonable person would consider to be a scam, such as cash gifting, multi-level marketing, or phishing. Further, "spam" can include any content that Business TV deems not entertaining or informative;
• Upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services;
• Promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals.  This may include, without limitation, providing instructions on how to assemble bombs, grenades and other weapons or incendiary devices.

6. Content Submitted

By submitting Content to Business TV in order to utilise the Services, you grant Business TV a worldwide, royalty-free, and non-exclusive license to publish the content on Business TV and to distribute the Content to our partners websites and video channels.  This license exists only for as long as you continue to maintain an account with Business TV and shall be terminated at the time your account is closed.

You acknowledge that Business TV does not pre-screen Content, but that Business TV shall have the right (but not the obligation) in its sole discretion to refuse or remove any Content that is available via the Services.  Without limiting the foregoing, Business TV reserves the right to refuse any Content that violates the TOS or is otherwise objectionable.  You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content.

7. Comments

The Business TV Site may allow the submission of comments and other communications submitted by you and other users ("Comments") and the hosting, sharing, and/or publishing of such Comments. Business TV does not guarantee any confidentiality with respect to any Comments.

You shall be solely responsible for your own Comments and the consequences of posting or publishing them. In connection with Comments, you hereby warrant that: (i) you own or have any necessary licenses, rights, consents, and permissions to submit your Comments to the Site and to allow use of the Comments as contemplated by the Site and these TOS; and (ii) you waive any moral rights in your Comments for the purposes of its submission and (iii) your Comments do not and shall not infringe the rights of any third party.

You will retain ownership of all intellectual property rights that you own in your Comments. However, by submitting the Comments to the Site, you hereby grant Business TV a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, and display the Comments in connection with the Site and Business TV’s (and its successor's) business, in any and all media now known or hereafter devised. You also hereby grant each User of the Site a non-exclusive license to access your Comments through the Site, and to use, reproduce, distribute, prepare derivative works of, display and perform such Comments through the Site and under these TOS. The license granted by you in relation to the Comments terminates when you remove or delete a User Post from the Site.

In relation to your Comments, you warrant that you will not: (i) submit material that is unlawful, obscene, defamatory, libellous, pornographic, abusive, racially or ethnically offensive, or criminal, or that may give rise to civil liability, violate any law, or is otherwise inappropriate; (ii) submit material that is copyrighted, protected by confidentiality obligations or subject to other third party rights, without the required permissions and consents to post the material and to grant Business TV the rights granted herein; (iii) post advertisements or solicitations of business: (iv) pretend to be another person.

Business TV does not endorse and has no control over the Comments. Comments are not necessarily reviewed by Business TV prior to posting and Comments do not necessarily reflect the opinions or policies of Business TV. Business TV does not endorse any opinion, recommendation, or advice contained in any Comments and disclaims any and all liability in connection with Comments. Business TV will remove all Comments if notified that such Comments infringe on a third party’s rights. Business TV reserves the right to remove Comments without notice and the right to terminate a User's access to the Site if any User is considered to be a repeat infringer (in Business TV’s sole discretion). Business TV shall have sole discretion to decide whether a User Post is appropriate and complies with these TOS and Business TV may remove such Comments and/or terminate a User's account for uploading any material that violates these TOS at any time, without prior notice.

You understand and acknowledge that you may be exposed to Comments that are inaccurate, offensive, indecent, or objectionable, and you hereby waive any legal or equitable rights or remedies you have or may have against Business TV with respect thereto. Business TV makes no warranties, express or implied, as to the Comments or to the accuracy and reliability of the same or any material or information that you transmit to other Users.

8. Modifications to Service

Business TV reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any portion thereof) with or without notice at any time.  You agree that Business TV shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

You acknowledge that Business TV may establish general practices and limits concerning use of the Services and may modify such practices and limits from time to time.

9. Partner Websites and Services

By agreeing to the Business TV Terms of Service, you are agreeing to the TOS of the partner sites to which we may deploy your videos.

10.  Intellectual Property Rights

The content on the Site, including without limitation, the Content, links to Content, the text, software, music, videos, interactive features, scripts, graphics, photos, sounds and the like ("Content") and the trademarks and logos contained therein ("Marks"), are owned by or licensed to Business TV, subject to copyright and other intellectual property rights under English and foreign laws and international conventions. Content on the Site is provided to you for your information and personal and educational use only and may not be used, copied, reproduced, distributed, broadcast, displayed, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Business TV reserves all rights not expressly granted in and to the Site and the Content. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of any Content obtained through the Site for any commercial purposes. If you download or print a copy of any of the Content for personal use, you must ensure that all copyright and other proprietary notices contained therein remain intact.

11. Disclaimer

Business TV and its officers, employees or agents are not and shall not be responsible for any incorrect or inaccurate Content posted on the Site. Business TV is not responsible for the Content, accuracy or opinions expressed on websites accessed through links contained on or posted on the Site, and such websites are in no way investigated, monitored or checked for accuracy or completeness by Business TV. Business TV takes no responsibility for third party advertisements, which are posted, on the Site and it does not accept any responsibility for the goods or services provided by its advertisers.

The Site is provided "AS-IS" and as available and Business TV does not warrant a timely, secure, error and interruption-free provision of the Site. Business TV expressly disclaims any warranty of fitness for a particular purpose or non-infringement. The exclusion of warranties does not affect your right of withdrawal.

Neither Business TV, its officers, employees or agents shall be liable for any direct, indirect, consequential, incidental or consequential damages resulting from (i) personal injury or property damage (ii) unauthorized access or use of the Site, (iii) any bugs viruses or the like which may be transmitted to or through the Site by any third party, or (iv) any errors or omissions in any Content or for any loss or damage of any kind incurred as a result of your use of the Site to the fullest extent permitted by law in the applicable jurisdiction.

The Site is controlled and offered by Business TV from its facilities in England and Business TV makes no representations that the Site is appropriate or available for use in other locations.

12. Indemnity

You agree to defend, indemnify and hold harmless Business TV, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of these TOS; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your Comments caused damage to a third party. This indemnity will survive these TOS and your use of the Site.

13. General

These TOS shall be governed by the laws of England and Wales. Any claim or dispute between you and Business TV arising from the Site shall be decided exclusively by the courts of England and Wales. If any provision of these TOS is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. No waiver of any term of this these TOS shall be deemed a further or continuing waiver of such term or any other term, and Business TV’s failure to assert any right or provision under these TOS shall not constitute a waiver of such right or provision. Business TV reserves the right to amend these TOS at any time and without notice, and it is your responsibility to review these TOS for any changes. These TOS, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Business TV without restriction.
